TERMS OF SERVICE / CUSTOMERS
These Terms of Service apply to the contractual relationship between Dailuge Inc., a limited liability company established and registered under the laws of Finland with the business ID 2830955-2 ("the Company") and the customer, a private person who purchases a video chat service package from the digital platform of the Company called Dailuge Inc. Oy ("the Customer").
The Company reserves right to change these Terms of Service.
The Company provides video chat service packages for its Chinese speaking customers w ("the Customers") through the Company's digital platform called Dailuge Inc. Oy. The service packages include a video chat regarding a travel destination chosen by the Customer ("the Target Destination"). The purpose of the video chat is to provide the Customer local knowledge and experience of the Target Destination.
The Company shall provide the Services to the Customer with help of hosts who are individuals having knowledge and experience of the Target Destination ("Hosts"). The hosts are acting as independent entrepreneurs when providing the Services as subcontractors of the Company.
When the Customer purchases a service package all Hosts within the Target Destination shall receive a service order. The Host who first accepts the service order shall provide the Services and arrange video chat with the Customer.
The Customer chooses the Target Destination and the service package. The Customer has no right to change the Target Destination and/or service package afterwards.
The Customer has no possibility to choose the Host who shall provide the Services and arrange the video chat with the Customer.
The Customer is aware and understands that the Hosts act as independent entrepreneurs as subcontractors of the Company and are not employees of the Company. The Hosts are independently responsible for providing the Services in professional manner and for paying all statutory taxes as well as other payments related to their activity.
The Customer is aware and understands that the Company is not a travel agency and that the Hosts are not professional guides or otherwise involved in professional travel activities. The Hosts are individuals who have local knowledge of the Target Destination and wishes to share it with the Customers so that they become acquainted with the Target Destination from the perspective of the Host. The Customer also understands that the Host may not have answers to all possible questions made by the Customer and that the information given by the Host may not always be accurate.
The Customer is responsible for having needed IT equipment and Internet connection (4 G or wifi at least 10 MB/s) in order to arrange the video chat as described in the service package. The Customer is responsible for testing the equipment and Internet connection prior to the purchase as instructed in the platform and warrants that that the test result is positive. The Customer him/herself decides what information he/she gives on him/herself. The Customer understands that it is possible to purchase the service package without disclosing any personal information such as name or picture.
The Company shall choose the Hosts carefully and make sure that the Hosts have local knowledge and experience of the Target Destination. However, the Company does not guarantee that the Host is able to provide answers to all questions of the Customer. The Host shall share his/her knowledge and experience of the Target Destination from his/her, not from the Customer's, perspective.
The Customer is obliged to pay the Service Fee prior to the Services are provided. The amount of the Service Fee for each service package is defined in the platform.
All reclamations must be made to the Company without delay and at the latest within three (3) days following the day when the Services were provided. Reclamations must be made to the Company in writing. The reclamation must include a detailed description why the Customer is not satisfied with the received Service.
Because the Customer him/herself decides what information he/she discloses to the Host or to the Company the Company or the Host shall not give any non-disclosure commitment to the Customer.
The Company shall be liable for possible direct damage occurred to the Customer due to breach of the Company's obligations. The Company shall not be responsible for the correctness of the information given by the Host.
In any case, the Company limits its liability to the amount of the service fee paid by the Customer. Therefore, the maximum compensation is the amount the Customer has paid to the Company on the Services in question. The Service Fee is not refunded but the Customer has in such a case right to a new equivalent service package free of charge.
Neither party shall be liable for any damages or obliged to fulfil any obligation based on circumstances and/or obstacles outside the influence of a party (force majeure).
The Agreement between the Company and the Customer becomes valid at the time the Customer purchases the service package. The Agreement shall be valid for a fixed term until the end of time defined in the service package.
These Terms of Service represents the entire understanding and agreement between the Parties relating to the subject matter hereof and supersedes all possible prior agreements between the Parties.
These Terms of Service may be amended or modified only in writing.
In case a provision of this Agreement is held to be unenforceable, such provision shall be severed and the remaining provisions of this Agreement shall remain in full force and effect.
This Agreement shall be construed and interpreted in accordance with the laws of Finland, excluding its choice of law rules.
Any dispute, controversy or claim arising out of or relating to this Agreement shall be settled in the district court of Helsinki, Finland.
